By signing in or accessing or using this Platform (as defined hereunder) you hereby accept these Terms and Conditions including the policies. Do not continue to sign in and/or access and/or use our Service (as defined hereunder) and/or Platform if you do not agree to or accept all of the Terms and Conditions stated on this page.

Code of Good Practices

Our mission is to help electric vehicle owners to plan long and short distance trips within India by providing locations and information relating to electric vehicle charging stations for free of cost, with the help of data collected from the Charge Point Operators (hereinafter referred to as “CPO”) and to ease E-Mobility. In order to achieve this goal, we will live up to the following good practices:

• We can help you plan a trip in your electric vehicle by locating the CPO’s en- route.
• We help you (24/7).
• We listen to you: our Platform is the product of what YOU (the users) prefer and find most convenient when using our service
• We hear you: we show relevant reviews (of customers who have actually used the electric vehicle charging station(s))

Introduction

These terms and conditions, as may be amended from time to time, apply to all our services directly or indirectly (through distributors) made available online, through any mobile device, by email or by telephone. By accessing, browsing and using our website or App or any of our platform through whatever means (hereafter collectively referred to as the "Platform") and/or by registering with us, you acknowledge and agree to have read, understood and agreed to the terms and conditions set out below (including the privacy policy).

The Platform, the content and infrastructure of the same and the E-Mobility Service provided by us through the Platform are owned, operated and provided by Ionage Technologies Pvt Ltd and are provided for your personal, non-commercial (B2C) use only, subject to the terms and conditions set out below. The relationship that we have with the CPO’s are governed by separate terms and conditions which govern the (B2B) commercial relationship we have with each of these CPO’s. Please note that CPO’s may, start and/or stop providing Service, change function patterns including but not limited to unprecedented closure, non-delivery or late delivery of service or consequential effects for which Ionage shall not be responsible.

Definitions

The following terminology applies to these Terms and Conditions, Privacy Policy and Disclaimer Notice and all Agreements:

(i). "Ionage", E-mobility Service Provider (hereinafter referred to as the “EMSP”), "us", "we" or "our" means Ionage Technologies Pvt Ltd., a Company incorporated under the laws of India, and having its registered address at Bangalore.

(ii). "User", "You" and "Your" refers to you, the person signing in or accessing or using this Platform (whether website/application) and compliant to the Company’s terms and conditions.

(iii). "Platform" means the (mobile) website and application (“App”) on which the Service is made available, owned, controlled, managed, maintained and/or hosted by Ionage.

(iv). "Charge Point Operator” (hereinafter referred to as “CPO”) means the Electric Vehicle charging station operators or anyone associated with providing such or associate service (whether B2B or B2C).

Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to the same.

Scope and Nature of our Service

Through our online Platform, we (Ionage) help electric vehicle owners (Users), to plan long and short distance trips within India, by providing locations and information relating to electric vehicle charging station(s) for free of cost, with the help of data collected from the CPO(s) and there by the User(s) can identify and locate electric vehicle charging stations with the help of Google Map API (collectively “Service”). The Platform may facilitate the User to plan a trip by assigning the charging station(s) available en-route. The list of electric vehicle charging station(s) provided in the Platform is not an exhaustive list and the functional status or capacity of the CPO’s are subject to periodical changes which may or may not be updated in the App. When rendering our Service, the information that we disclose is based on the information provided to us by CPO(s). Although we will use reasonable skill and care in performing our Service by updating the relevant information received from the CPO(s) relating to the applicable electric vehicle charging station(s), we will not verify it, and cannot guarantee that, all information is accurate, complete or correct, nor can we be held responsible for any errors (including manifest and typographical errors), any interruptions (whether due to any (temporary and/or partial) breakdown, repair, upgrade or maintenance of Charging Stations or otherwise), inaccurate, misleading or untrue information or non-delivery or late-delivery of information. The applicable CPO(s) shall remain responsible at all times for the accuracy, completeness and correctness of such information provided. Our Platform does not constitute and should not be regarded as a recommendation or endorsement of the quality, service level, qualification or (star) rating, type of service of any CPO(s) (or its facilities, venue, vehicles, (main or ancillary) products or services) made available, save as explicitly indicated or set out otherwise.

Our Service is made available for personal and non-commercial use only. Therefore, you are not allowed to resell, deep-link, use, copy, monitor (e.g. spider, scrape), display, download or reproduce any content or information, software products or services available on our Platform for any commercial or competitive activity or purpose.

We may display offers that are not directly sourced from CPO(s), but are facilitated by our partner company, such as another platform (Partner offer). Partner offers will be clearly displayed and distinguished from the regular offers directly sourced from CPO(s) and have the following special conditions, unless mentioned otherwise on our Platform:

• Price policy: as displayed on our Platform.
• Pay in advance: You’ll pay securely with us at the time of the booking.
• No modifications: Once your booking is completed, any changes to your personal or booking details will not be possible. Requests can be made directly with the applicable partner company, but are not guaranteed.

Free of charge for Service

Unless indicated otherwise, our Service is free of charge for Users, unlike many other parties, we will not charge you for our Service or add any additional rate

Disclaimer

Subject to the limitations set out in these terms and conditions and to the extent permitted by law, we shall not be liable for direct damages actually suffered, paid or incurred by you due to an attributable shortcoming of a CPO’s obligations (whether for one event or series of connected events).

However and to the extent permitted by law, neither we nor any of our officers, directors, employees, representatives, subsidiaries, affiliated companies, distributors, affiliate (distribution) partners, licensees, agents or others involved in creating, sponsoring, promoting, or otherwise making available the site and its contents shall be liable for (i) any punitive, special, indirect or consequential loss or damages, any loss of production, loss of profit, loss of revenue, loss of contract, loss of or damage to goodwill or reputation, loss of claim, (ii) any inaccuracy relating to the (descriptive) information (including rates, availability and ratings) relating to the electric vehicle charging station(s) provided by the CPO(s) as made available on our Platform, (iii) the services rendered or the products offered by the CPO(s) or other business partner company(s), (iv) any (direct, indirect, consequential or punitive) damages, losses or costs suffered, incurred or paid by you, pursuant to, arising out of or in connection with the use, inability to use or delay of our Platform, or (v) any (personal) injury, death, property damage, or other (direct, indirect, special, consequential or punitive) damages, losses or costs suffered, incurred or paid by you, whether due to (legal) acts, errors, breaches, (gross) negligence, willful misconduct, omissions, non-performance, misrepresentations, tort or strict liability by or (wholly or partly) attributable to the CPO(s) or any of our other business partners (including any of their employees, directors, officers, agents, representatives, subcontractors or affiliated companies) whose products or service are (directly or indirectly) made available, offered or promoted on or through the Platform, including any (temporary or partial), power failures, overcrowding of vehicles, strike, force majeure or any other event beyond our control.

Ionage is not responsible (and disclaims any liability) for the use, validity, quality, suitability, fitness and due disclosure of the Service and makes no representations, warranties or conditions of any kind in this respect, whether implied, statutory or otherwise, including any implied warranties of , Service fitness or non-infringement for a particular purpose. You acknowledge and agree that the applicable CPO(s) is solely responsible and assumes all responsibility and liability in respect of the information provided relating to electric vehicle charging station(s)(including any warranties and representations made by the CPO(s)). Complaints or claims in respect of the Service (including or related to the offered (special/promotion) price, policy or specific requests made by Customers) are to be dealt with by the CPO. Ionage is not responsible for and disclaims any liability in respect of such complaints, claims and liabilities relating to any or all electric vehicle charging station(s).

Ionage is not liable or responsible for the remittance, collection, withholding or payment of the relevant taxes due on the price or fee to the relevant tax authorities. Ionage does not act as the merchant of record for any product or service made available on the Platform.

By uploading photos/images onto our system (for instance in addition to a review) you certify, warrant and agree that you own the copyright to the photos/images and that you agree that Ionage may use the uploaded photos/images on its Platform, and in (online/offline) promotional materials and publications and as Ionage at its discretion sees fit. You are granting Ionage, a non-exclusive, worldwide, irrevocable, unconditional, perpetual right and license to use, reproduce, display, have reproduced, distribute, sublicense, communicate and make available the photos/images as Ionage at its discretion sees fit. By uploading these photos/images the applicable User uploading the picture(s) accepts full legal and moral responsibility of any and all legal claims that are made by any third parties (including, but not limited to, CPO(s) due to Ionage publishing and using these photos/images. Ionage does not own or endorse the photos/images that are uploaded. The truthfulness, validity and right to use of all photos/images is assumed by the User who uploaded the photo, and is not the responsibility of Ionage. Ionage disclaims all responsibility and liability for the pictures posted. The User who uploaded the photo warrants that the photos/images shall not contain any viruses, Trojan horses, worms or infected files and shall not contain any pornographic, illegal, obscene, insulting, objectionable or inappropriate material and does not infringe any third party (intellectual property right, copyright or privacy) rights. Any photo/image that does not meet the aforesaid criteria shall not be posted and/or can be removed/deleted by Ionage at any time and without prior notice.

Ionage is entitled, with immediate effect, to deny or limit access to our Platform, our (customer) Service and/or your Ionage account, in the event you are alleged of any or reasonably suspected act or omission in the form of (i) fraud or abuse, (ii) non-compliance with applicable laws and/or regulations, (iii) non-compliance with this Terms and Conditions, (iv) inappropriate or unlawful behaviour, which includes but is not limited to the following: violence, threat, harassment, discrimination, defamation, hate speech, endangerment, invasion of privacy, human trafficking, exploitation of children, and obscenity in relation to Ionage (or its employees and agents), the CPO(s) (or its employees and agents), and/or third parties, or (v) other circumstances that – at Ionage's sole discretion – reasonably justify Ionage taking any of the aforementioned measures.

Intellectual property rights

Except as expressly stated herein, this agreement does not grant either party any rights, implied or otherwise, to the other’s content or any of the other’s intellectual property. As between the parties, respective User owns all Intellectual Property Rights in it’s applicable reviews and data shared, CPO’s owns all Intellectual Property Rights in Information and data relating to Electric vehicle charging station and Ionage owns all Intellectual Property Rights in the Platform.

Ionage exclusively retains ownership of all rights, title and interest in and to (all intellectual property rights of) (the look and feel (including infrastructure) of) the Platform on which the Service is made available (including the reviews and translated content) and you are not entitled to copy, scrape, (hyper-/deep)link to, publish, promote, market, integrate, utilise, combine or otherwise use the content (including any translations thereof and the reviews) or our brand without our express written permission. To the extent that you would (wholly or partly) use or combine our (translated) content (including guest reviews) or would otherwise own any intellectual property rights in the Platform or any (translated) content or reviews, you hereby assign, transfer and set over all such intellectual property rights to Ionage. Any unlawful use or any of the aforementioned actions or behavior will constitute a material infringement of our intellectual property rights (including copyright and database right).

Applicable law, Jurisdiction and Dispute Resolution

These terms and conditions and the provision of our services shall be governed by and construed in accordance with Indian law. You irrevocably submit to the exclusive jurisdiction of the Courts in Bengaluru, for any action or proceeding related to the Service and/or Platform.

Severability

If any provision of this Terms and Condition is held to be invalid or unenforceable for any reason, the remaining provisions will continue in full force without being impaired or invalidated in any way.

Refund Policy

Upon dispute(s) regarding payment failures, addition payments being deduction from wallet during initiation, cancellation or completion of a charging session, the customer should send an email to support@ionage.in

• The dispute will be addressed by IONAGE within 3 working days
• Refund will be processed by adding the disputed amount to IONAGE wallet with in 5-7 working days
